TERMS OF USE

  1. Overview and Acceptance of Terms

Welcome to the official website of Dajonar Studio LLC (hereinafter referred to as “the Company,” “we,” or “Dajonar Studio LLC”).

These Terms and Conditions of Service apply to your access to and use of this website, as well as any graphic design services purchased through it—including, but not limited to, visual branding assets, promotional posters, advertising graphics, social media designs, marketing visual content, and other customized design services.

By accessing this website, placing an order, or purchasing our services, you acknowledge that you have read and understood these terms and agree to be bound by them to the fullest extent permitted by applicable law. If you do not agree to these terms, please discontinue your use of the services.

  1. Scope of Services

Dajonar Studio LLC provides professional graphic design and related visual creative services. The specific scope of services, design requirements, delivery formats, timelines, revision policies, and fees shall be governed by the details provided on the website’s order page, the project specifications confirmed by both parties, or other written agreements.

For custom design projects, clients are required to provide accurate and complete design requirements and all necessary materials before the project commences. Should a client request changes to the original requirements, additions to the design scope, or work that falls outside the previously agreed-upon scope, the fees and delivery timelines may be subject to renegotiation; such additional work will only proceed upon the client’s formal confirmation.

While we will deliver services in accordance with the project requirements confirmed by both parties, we do not guarantee that the design work will result in specific commercial gains, sales growth, or marketing outcomes.

  1. Intellectual Property and Ownership

3.1 Materials Provided by the Client

The client retains all rights to the trademarks, brand names, text, photographs, graphics, business materials, and any other pre-existing assets submitted to the Company.

The client represents and warrants that they possess or have obtained all necessary legal rights, licenses, and authorizations to provide such materials, and that they have the authority to grant us permission to use these materials for the purpose of fulfilling the agreed-upon design services.

The submission of materials by the client to the Company does not constitute a transfer of ownership of such materials to the Company.

3.2 Ownership of Custom Design Deliverables

Upon full payment of all amounts due for an order, and subject to the exceptions explicitly stated herein, the transferable intellectual property rights and related interests in the final custom design deliverables—created and provided specifically for the client—shall be transferred to the client, to the extent permitted by applicable law.

Where permitted by law and subject to transferability, such rights include the economic rights (copyright) in the final design deliverables, as well as the rights to reproduce, publish, display, distribute, modify, and commercially utilize them.

Once all agreed-upon fees have been paid in full, the client may use the final custom design deliverables for personal or commercial purposes, to the extent permitted by applicable law, without the need for any additional licensing fees beyond those already agreed upon.

Prior to full payment, the client may not use any design deliverables—for which payment remains outstanding—for public release, commercial promotion, resale, or any other unauthorized purpose, except for the limited use necessary for review, confirmation, or the project’s established workflow (e.g., using preview files).

3.3 Rights Retained by the Company

The following items are not automatically transferred to the client upon delivery of the custom design work:

Design templates, general graphics, tools, software, workflows, technical methodologies, and other intellectual property already owned by the Company prior to the commencement of the project.

Reusable general design elements, non-exclusive assets, and foundational resources that do not constitute part of the client’s exclusive final deliverables.

Third-party fonts, images, icons, software, stock library content, and other materials subject to third-party licensing terms.

Any rights that are non-transferable under applicable law or that are not owned by the Company.

In the event that any of the aforementioned items are incorporated into the final design deliverables, the Company shall—to the extent permitted by law and within the scope of its authority—grant the client a license reasonably necessary for the intended use of the final deliverables. Third-party materials remain subject to their original licensing terms.

3.4 Unused Proposals and Working Files

Unless otherwise agreed upon in writing by both parties, design proposals that were not adopted, drafts, internal working records, source files, editable project files, and other intermediate deliverables are not automatically included in the final scope of delivery. Ownership of these items shall be determined in accordance with applicable law and any written agreements between the parties.

Should the client require source files, unused proposals, or other additional deliverables, the specific scope and associated costs must be confirmed with us either prior to purchase or during the course of the project.

3.5 Third-Party Assets and Licensing Restrictions

If the final design deliverables incorporate third-party licensed assets, the use, modification, redistribution, and commercial application of such content may be subject to the terms of the respective licenses.

We do not transfer to the client any third-party rights that exceed the scope of our own legal authorization. For projects requiring the separate purchase of licenses—such as font licenses or commercial asset licenses—the relevant arrangements must be clarified by both parties before the project commences.

3.6 Infringement Claims and Resolution

If you believe that this website or any design deliverables provided by us infringe upon your intellectual property rights, please provide us with details regarding the work in question, proof of ownership, the content alleged to be infringing, and your contact information. We will conduct a reasonable review of such claims and take appropriate action as required by applicable law.

  1. Payment Terms and One-Time Billing

4.1 One-Time Purchase

Design services provided by Dajonar Studio LLC are charged on a per-order basis. All orders are one-time purchases and do not constitute automatic renewals, recurring charges, or ongoing subscription services.

Clients are only required to pay the order amount corresponding to the selected services or the confirmed project. We will not initiate subsequent recurring charges based solely on a client’s completion of a single purchase; any further services would require the client to proactively initiate a new order.

4.2 Order Pricing

Prices displayed on the website are determined at the time of checkout or as specified in a written quote confirmed by both parties. Pricing may vary based on the scope of services, the complexity of the design, the deliverables, revision requirements, and any other additional services confirmed by the client.

Should the scope of work expand beyond the original order, we will inform the client of any additional costs in advance and will only proceed with billing once the client has provided confirmation. Applicable sales taxes or other legally required levies will be handled in accordance with relevant laws and the instructions provided on the checkout page.

4.3 Timing of Payment

Unless otherwise agreed upon in writing by both parties, the client shall complete the required payment upon order confirmation or prior to the commencement of the project.

For customized projects requiring phased payments, the specific payment percentages, payment milestones, and delivery arrangements for each phase shall be governed by the written agreement confirmed by both parties.

Once payment is successfully processed, we will begin arranging the relevant design services based on the order information. For orders where payment fails, is declined, or the transaction status cannot be verified, we may postpone the start of the project until the payment status has been confirmed.

4.4 Payment Methods and Processing

We may process online payments through third-party payment service providers, such as Stripe. The available payment methods are those displayed on the website’s checkout page.

Stripe is an independent third-party payment service provider and does not constitute a co-branded partner or an affiliate of Dajonar Studio LLC. Clients are not required to register for a Stripe account solely to purchase our services; the specific payment process will depend on the options provided at checkout.

Clients must ensure that the payment information provided is accurate and that they are authorized to use the chosen payment method.

4.5 Billing Records and Transaction Confirmation

We may send clients order confirmations, payment status notifications, electronic receipts, or other records related to the transaction. Clients should retain this information for purposes such as order inquiries, refund requests, or the resolution of transaction disputes.

Should you discover duplicate charges, incorrect amounts, or unauthorized transactions, please contact us promptly so that we may investigate and address the issue.

  1. Order Cancellations, Modifications, and Refunds

If a client wishes to cancel an order, modify design requirements, or request a refund, they should contact us promptly using the contact information provided on this website.

For projects that have not yet commenced, we will evaluate cancellation and refund requests based on the terms of the order and applicable law. For customized design projects that have already begun or been completed, we will determine an appropriate resolution by taking into account the work already performed, deliverables provided, the agreed-upon scope of services, and applicable law.

Clients may submit requests within the applicable timeframe for refund applications. Specific conditions for refunds, requirements for the return of physical printed materials, and the processing time for refunds shall be governed by the “Return and Refund Policy” published separately on this website, as well as by applicable laws.

The fact that a digital design file has been opened or downloaded does not, in itself, disqualify a customer from submitting a refund request. All refund requests are processed in accordance with the applicable policy and law.

Approved refunds will, in principle, be returned via the original payment method. The actual time required for funds to be credited may vary depending on the payment service provider or the card-issuing institution.

Nothing in these terms shall exclude or limit any non-waivable rights granted to consumers under applicable law.

  1. Acceptable Use

Customers may use our website and design services, provided they comply with these terms, applicable laws, and any relevant third-party licenses.

Acceptable use includes:

Purchasing and using design services for lawful personal, commercial, branding, or marketing purposes.

Providing truthful, accurate information relevant to the design project.

Using the final design deliverables within the agreed-upon scope, following full payment and the acquisition of the corresponding rights or licenses.

Respecting the intellectual property rights, privacy rights, and other legal interests of our company, other customers, and third parties.

Submitting requests for design revisions, order inquiries, complaints, or refunds through legitimate channels.

  1. Prohibited Conduct

Customers shall not use this website or our services to engage in the following activities:

Submitting, creating, or disseminating content that is unlawful, fraudulent, threatening, harassing, defamatory, or otherwise in violation of applicable law.

Unauthorized use, reproduction, sale, or distribution of third-party protected trademarks, images, fonts, design works, or other intellectual property.

Using design services for activities such as impersonating others, forging documents, deceiving consumers, or misleading the public.

Gaining unauthorized access to this website, interfering with its operation, bypassing security measures, or attempting to obtain non-public information belonging to other users.

Using this website to distribute malware, spam, or other content that could harm our systems, other users, or third parties.

Reselling, redistributing, or claiming full ownership rights over third-party materials without having obtained the necessary rights or licenses.

Providing false payment information, abusing the refund process, or otherwise obtaining services through fraudulent means. …using the website and related services in any other manner that violates these Terms, third-party licenses, or applicable laws.

  1. Handling of Violations and Service Suspension

If we have reasonable grounds to believe that a client has violated these Terms, infringed upon the rights of third parties, engaged in fraudulent activities, or posed a security risk to the website or other users, we may take appropriate measures based on the nature of the violation, including:

Requiring the client to cease the relevant conduct or correct the submitted content.

Suspending specific design projects or restricting the use of related services.

Refusing to process design requests that involve clear risks of illegality or infringement.

Canceling relevant orders or terminating services, to the extent permitted by applicable law.

Retaining necessary transaction records and providing information to relevant authorities when required by law or deemed legally necessary.

Seeking damages, injunctive relief, or other appropriate legal remedies.

When taking such measures, we will consider the severity of the violation, its actual impact, the possibility of rectification, and the requirements of applicable law. Any cancellation, suspension, or refund process shall be subject to applicable law and the rights to which the client is legally entitled.

  1. Service Delivery and Client Responsibilities

The estimated completion time, delivery method, file formats, and number of revisions for design services shall be as specified on the order page or in the project description confirmed by both parties.

The client is responsible for providing the materials, feedback, and approvals necessary to complete the project in a timely manner. Delays resulting from the client’s failure to submit materials on time, frequent changes to requirements, or failure to provide feedback as agreed may affect the project delivery timeline.

Upon receipt of the design deliverables, the client should conduct a reasonable review of the files and promptly report any discrepancies with the agreed-upon requirements. We will address reasonable requests for revisions or quality-related issues in accordance with the confirmed scope of services and our relevant policies.

  1. Disclaimer

To the maximum extent permitted by applicable law, this website and its related services are provided on an “as-is” and “as-available” basis. While we make reasonable efforts to ensure the website operates correctly and that services are delivered in accordance with the terms of an order, we cannot guarantee that the website will be free from interruptions, errors, or technical malfunctions at all times.

Unless otherwise expressly agreed upon by the parties or required by applicable law, we do not guarantee that the design deliverables will achieve any specific business outcome, marketing conversion rate, sales figure, or profit.

Nothing in this disclaimer excludes any express or implied warranties, statutory consumer rights, or other protections that cannot be excluded or waived under applicable law.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be held liable for any losses arising from the client’s improper use of the website, breach of these terms, provision of inaccurate information, or unauthorized use of third-party materials, beyond the scope of liability established by law or agreed upon by the parties.

To the extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, or punitive damages, nor for loss of profits, business opportunities, or data, except as otherwise required by law.

To the maximum extent permitted by applicable law, our aggregate liability for any claims arising from a specific order shall not exceed the total fees actually paid by the client to Dajonar Studio LLC for the services provided under that order.

These limitations of liability do not apply to liabilities that cannot be limited or excluded under applicable law, including—but not limited to—liability for personal injury, fraud, willful misconduct, or any other statutory liability that cannot be waived.

Nothing in these terms limits any non-waivable rights that consumers may have under applicable law.

  1. Indemnification

To the extent permitted by applicable law, if the client’s unlawful conduct, intentional tort, unauthorized provision or use of third-party materials, or material breach of these terms results in third-party claims, losses, or reasonable legal expenses incurred by us, the client shall be held liable for such losses to the extent that they are legally attributable to the client’s actions.

Nothing in these terms requires the client to assume liability for losses or damages resulting from our own unlawful conduct, negligence, or other acts for which we are legally responsible.

13. Dispute Resolution

Should a dispute arise regarding an order, payment, design delivery, intellectual property ownership, or other service-related matters, both parties agree to first attempt an amicable resolution through email or other forms of written communication.

If the dispute cannot be resolved through such consultation, the parties may, depending on the nature of the dispute and applicable law, pursue one of the following avenues:

Internal Complaint and Consultation: Submitting a detailed account of the issue along with relevant order documentation to our company, allowing us to investigate and provide a response.

Mediation: With the mutual consent of both parties, a dispute may be addressed with the assistance of an independent mediation organization or a qualified mediator.

Small Claims Procedures: Where permitted by the jurisdiction of the relevant court, monetary limits, and other applicable criteria, either party may utilize appropriate small claims legal procedures.

Judicial Proceedings: For disputes that cannot be resolved through the aforementioned methods, either party may initiate legal action in a court of competent jurisdiction.

Unless otherwise agreed upon in a separate, valid written agreement or required by applicable law, these terms do not mandate arbitration, nor do they waive a client’s right to pursue litigation in court or limit other dispute resolution options available to consumers under the law.

  1. Governing Law and Jurisdiction

These Terms of Service are governed by the applicable federal laws of the United States and the laws of the state in which Dajonar Studio LLC is registered, excluding conflict-of-law principles, unless otherwise required by applicable law.

For any disputes arising from these terms or the associated services, the parties shall adhere to the procedural and legal requirements of the court having competent jurisdiction.

As the specific state of registration and the primary place of business have not yet been finalized within these terms, the specific state and jurisdictional arrangements shall be supplemented and verified based on the company’s registration documents, actual business operations, and applicable law prior to the official launch of the website.

These terms do not exclude any rights granted to consumers by the laws of their place of residence that cannot be waived under the law.

  1. Privacy and Personal Information Protection

We may collect, use, store, and process client personal information in accordance with the Privacy Policy published on this website, for the purposes of fulfilling orders, providing design services, processing payments, responding to client inquiries, and complying with legal obligations. The processing of personal information by third-party payment service providers and other service providers may be subject to their respective privacy policies and applicable laws.

Before using this website, clients should review our Privacy Policy to understand the specific details regarding the processing of personal information and their privacy rights.

  1. Force Majeure

Should we be unable to fulfill our obligations—or experience delays in doing so—due to events beyond our reasonable control (such as natural disasters, fire, war, government actions, failures in public communication networks, major cyberattacks, or disruptions to third-party infrastructure), our liability for such delays or failures shall be limited to the extent permitted by applicable law.

In the event of such an occurrence, we will make reasonable efforts to notify affected clients and resume services as soon as conditions permit.

Nothing in this clause shall exempt us from obligations that cannot be excluded by law, nor shall it affect a client’s statutory rights, including the right to a refund or other legal entitlements.

  1. Amendments and Severability

We may amend these terms to reflect changes in our services, adjustments to website functionality, or updates to applicable laws. Updated versions will be posted on this website and will include an effective date.

In the event of significant changes, we will comply with any requirements under applicable law regarding notification or the obtaining of consent.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue to be in full force and effect to the maximum extent permitted by law.

Thank you for choosing Dajonar Studio LLC. We are committed to providing professional and reliable graphic design services, supported by clear service agreements, transparent one-time billing, and well-defined intellectual property arrangements.
